Effective Date: May 1, 2026

Last Updated: July 27, 2026

Owner: Wizcart Technologies Incorporated

This User Terms of Use is issued by WIZCART TECHNOLOGIES INCORPORATED, a British Columbia corporation (corporation number BC1541387, incorporated 27 May 2025 under the BC Business Corporations Act) extra-provincially registered to carry on business in Alberta (Alberta corporate access number 2128144090) ("Wizcart", "we", "us", or "our"). Wizcart operates the Wizcart technology marketplace platform in Canada. Public legal notices, operational correspondence, and mailing communications may be sent to Wizcart at 903 8 Ave SW Office - 931, Calgary, AB T2P 0P7, Canada.

These User Terms of Use (the "Terms") form a legally binding agreement between you and Wizcart for your access to and use of the Platform. By creating an account, submitting a booking request, communicating through the Platform, or otherwise using the Platform, you agree to these Terms and the incorporated policies. Wizcart records your acceptance of this document each time you check the applicable "I agree" or equivalent acceptance checkbox in the Platform. Wizcart records the date and time of your acceptance, the version of this document you accepted, your IP address, and your User-Agent (browser and device information) on Wizcart's servers as evidence of your acceptance. By checking the acceptance checkbox, you confirm that you have read this document, that you understand it, and that you agree to be bound by it.

1. Platform Services Only

Wizcart provides Platform Services only. Wizcart does not provide, perform, deliver, supervise, control, manage, inspect, guarantee, or warrant the underlying services booked through the Platform ("Provider Services"). Provider Services are offered and performed solely by independent third-party Service Providers. Any agreement for Provider Services is between the User and the selected Service Provider, not Wizcart.

Service Providers are primarily and directly responsible for Provider Services, including service delivery, workmanship, safety, regulatory compliance, licensing, permits, insurance, taxes, personnel, assistants, subcontractors, tools, methods, mistakes, negligence, misconduct, property damage, personal injury, and any failure to perform. Wizcart support, dispute intake, refund processing, account review, document review, or claims routing does not make Wizcart the provider, employer, supervisor, insurer, guarantor, or backstop for Provider Services.

For claims arising from Provider Services, the Service Provider's own insurance is primary. Service Providers must maintain valid insurance appropriate to their service category, notify their insurer of incidents or claims, and cooperate with Users, Wizcart, insurers, regulators, and authorities. Wizcart does not provide insurance coverage for Service Provider mistakes, negligence, misconduct, damage, injury, licensing failure, or insurance gaps. Wizcart's insurance, if any, is subject to the terms, conditions, limits, exclusions, deductibles, and determinations of the applicable policy and insurer. Nothing in this document creates a promise that Wizcart will insure, defend, indemnify, or pay for claims arising from Provider Services.

Wizcart may review documents submitted by Service Providers for platform eligibility, trust and safety, fraud prevention, or compliance purposes. Such review is limited, may rely on information provided by the Service Provider or third parties, and does not guarantee that a Service Provider is licensed, insured, qualified, compliant, safe, suitable, or able to perform any specific Provider Service. Service Providers remain solely responsible for maintaining all required licences, permits, certifications, registrations, insurance, tax accounts, qualifications, and legal compliance.

2. Eligibility and Account Registration

  • You must be at least eighteen (18) years old and legally capable of entering into a contract.

  • Wizcart Provider Services are currently available in select Canadian locations. The Platform will display whether Provider Services are available in your area at the time of booking. If you are located in an area where Provider Services are not yet available, you will be unable to complete a booking until Wizcart expands to your location. Wizcart is rolling out Provider Services across Canada in stages and updates Platform availability as new locations come online.

  • You must provide accurate, current, and complete account information and keep it updated.

  • You are responsible for maintaining the confidentiality of your account credentials and for activity under your account.

  • You may not impersonate another person, create misleading accounts, or use the Platform for unlawful activity.

Nothing in this document limits, excludes, or waives any non-waivable right, remedy, warranty, duty, or protection under applicable federal, provincial, territorial, or municipal law. If this document conflicts with a non-waivable legal requirement, the legal requirement controls to the extent of the conflict.

3. Booking Provider Services

The Platform displays Service Providers who may be available for the service category, geography, timing, and booking type you select. You choose the Service Provider. Wizcart does not assign a Service Provider to you without your selection.

A booking confirmed through the Platform creates a direct Service Agreement between you and the selected Service Provider for the Provider Services described in the booking flow and any lawful in-Platform written updates agreed between you and that Service Provider. Wizcart is not a party to the Service Agreement.

If a selected Service Provider declines, cancels, or becomes unavailable, the Platform may show you a pre-filtered list of alternate available Service Providers with similar category, availability, pricing, ratings, or experience signals. You may select a replacement from that list at your discretion. Wizcart does not automatically assign a replacement Service Provider.

4. Order Types, Pricing, Fees, and Taxes

Bookings may be scheduled for a future date and time or, where offered in the Platform, requested as urgent or same-day bookings. Any urgent-dispatch fee, scope-change charge, cancellation fee, taxes, and Wizcart order-processing fee will be disclosed before you confirm the relevant transaction or change.

Wizcart charges a customer-side order-processing fee of five percent (5%) on the applicable order cost. For this Section, "applicable order cost" means the Provider Services price stated in the booking flow before any Wizcart order-processing fee and before applicable taxes. This fee covers Platform technology, payment-processing facilitation, support infrastructure, and marketplace administration. The fee and applicable tax on the fee will be displayed as separate line items before checkout.

All fixed mandatory fees that are known at the time of booking will be disclosed before you confirm the booking. Any variable or scope-change amount must be confirmed through the Platform before it applies. Wizcart's pricing disclosures comply with Canada's drip-pricing and consumer-protection requirements, including the drip-pricing provisions of the Competition Act (subsection 74.01(1.1)).

Taxes may include: (a) tax charged by the Service Provider on Provider Services if the Service Provider is registered or required to collect tax (a Service Provider is required to register for GST/HST if their worldwide taxable supplies exceed CAD $30,000 in the preceding four calendar quarters); and (b) tax charged by Wizcart on Wizcart's order-processing fee. Within Alberta, GST is charged at 5% on Wizcart's order-processing fee. As Wizcart expands to other provinces, tax rates apply based on the place of supply (typically the location where Provider Services are performed) as set out in the Excise Tax Act and GST/HST Place of Supply Regulations. Wizcart's GST/HST registration number is 757909163 RT0001 (effective May 1, 2026). Wizcart issues tax invoices and receipts that comply with the Input Tax Credit Information (GST/HST) Regulations to support Input Tax Credit claims by business customers where eligible. Tax amounts will be displayed before checkout where reasonably determinable.

5. Payment Processing and Pre-Authorization

Payments are processed through Stripe Connect or another approved payment service provider. You authorize Wizcart and the payment service provider to place payment pre-authorizations, process charges, process refunds, facilitate Service Provider payouts, and handle chargebacks in accordance with these Terms and the Cancellation and Refund Policy.

When you submit a booking, Wizcart may place a pre-authorization hold for the estimated booking amount, applicable fees, and taxes. A pre-authorization hold is a reservation of available credit or funds, not a final charge. The final charge is processed upon Service completion, cancellation, or another trigger disclosed in the booking flow. Release timing for unused holds is controlled by your card issuer or payment method provider.

6. Cancellations, Refunds, and No-Shows

Cancellations, refunds, and no-show handling are governed by the Cancellation and Refund Policy. Where you are entitled to a refund, Wizcart will process the refund to the original payment method within fifteen (15) days after the refund entitlement is confirmed or within any shorter period required by applicable law. Your payment-method issuer may take additional time to post the credit.

Your statutory cancellation rights under Alberta's Internet Sales Contract Regulation (Alta Reg 81/2001) and the Consumer Protection Act (Alberta) remain available regardless of this Section and the Cancellation and Refund Policy. These include: (a) the right to cancel within seven (7) days after receiving a copy of your contract if, before the booking, Wizcart did not disclose the information required by the Regulation or did not give you an express opportunity to accept, decline, or correct the contract; (b) the right to cancel within thirty (30) days after entering the contract if Wizcart does not provide you with a copy of the contract within fifteen (15) days; and (c) the right to cancel within one (1) year after entering the contract if the booked Provider Services are not provided within thirty (30) days of the date specified in the contract (a right you may lose if you accept performance after that thirty-day period). Where you exercise a statutory cancellation right, Wizcart will refund all consideration paid within fifteen (15) days as required by the Regulation. As Wizcart expands to other Canadian provinces, equivalent provincial consumer-protection cancellation rights will apply in those provinces where required by law.

If a Service Provider does not arrive within the agreed service window without your accepted rescheduling, the issue is handled as a Service Provider no-show under the Cancellation and Refund Policy. Wizcart may assist with refund processing, support intake, claims routing, and alternate-provider suggestions, but this assistance does not make Wizcart responsible for Provider Services.

7. Service Quality, Provider Responsibility, and Disputes

The quality, safety, fitness, legality, timing, and outcome of Provider Services are the Service Provider's responsibility. You should use reasonable judgment when selecting a Service Provider, reviewing profile information, confirming service details, and allowing access to your property.

If you have a concern about Provider Services, you should first attempt to resolve it with the Service Provider through in-Platform messaging where practical. In-Platform messages create a record that may assist support, refund processing, or claims routing.

If direct resolution is unsuccessful, Wizcart may review available Platform records solely to administer payment facilitation, cancellation/refund rules, published Community Standards, safety rules, and account-access remedies. Wizcart does not act as a court, arbitrator, professional inspector, insurer, employer, or quality supervisor of Service Providers.

8. Safety, Premises, and Property

  • You must provide lawful, reasonably safe premises and accurate access instructions for in-person Provider Services.

  • You must disclose known hazards, restricted access conditions, pets, parking limitations, or special safety concerns before the booking begins.

  • You must not request unlawful services, unsafe work, disposal of prohibited material, or work outside the Service Provider's lawful scope.

  • For property-damage, injury, or incident claims arising from Provider Services, the Service Provider and the Service Provider's insurance are the primary responsible party and primary coverage source.

9. User Conduct and Acceptable Use

You must comply with the Acceptable Use and Community Standards, applicable law, human-rights requirements, privacy requirements, and Platform rules. You may not harass, discriminate, threaten, abuse, defraud, misrepresent, circumvent payment, or misuse the Platform.

10. Ratings, Reviews, and Content

You may submit ratings, reviews, images, messages, or other content where the Platform permits. You are responsible for ensuring that your content is lawful, accurate, not misleading, not defamatory, not infringing, and does not disclose another person's personal information without consent.

By submitting content, you grant Wizcart a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, adapt, and use the content to operate, improve, moderate, and promote the Platform, subject to the Privacy Policy. This licence survives termination of your account, except where required to be terminated by applicable privacy law. Wizcart may remove content that violates law, these Terms, or the Community Standards.

11. Privacy and Electronic Communications

Your personal information is handled under the Privacy Policy, Cookie and Tracking Policy, and Account Deletion and Data Retention Policy. By using the Platform, you consent to receive transactional, security, account, booking, payment, support, and policy notices electronically. Marketing communications by email or SMS are subject to Canada's Anti-Spam Legislation. Marketing SMS messages will include required sender identification and an unsubscribe mechanism, such as replying STOP, where required by law. If Wizcart conducts telemarketing calls or faxes, those activities may also be subject to the Canadian Radio-television and Telecommunications Commission's Unsolicited Telecommunications Rules and the National Do Not Call List, where required by law. You may withdraw consent at any time by following the unsubscribe mechanism in the message, by replying STOP for SMS, or by contacting privacy@wizcart.com.

Wizcart may also contact you by telephone or by automated voice message for the account, booking, security, safety, and support purposes described in these Terms. Calls between you and Wizcart or its authorized representatives may be recorded for quality assurance, training, dispute resolution, and compliance purposes, and you will be told at the beginning of a recorded call. The Wizcart Communications and Contact Policy, which is incorporated into these Terms, sets out Wizcart's calling and caller-identification standards, marketing quiet hours, do-not-call request process, automated voice message rules, and call recording practices, and explains how to opt out.

12. Intellectual Property

The Platform, software, interface, designs, trade-marks, content, and related intellectual property are owned by Wizcart or its licensors, including Wizcart Technologies LLC as the owner of the WIZCART trade-marks used in Canada under licence. You receive only a limited, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose. You may not copy, reverse engineer, scrape, commercially exploit, or interfere with the Platform except as permitted by law.

13. Suspension and Termination

Wizcart may suspend, restrict, or terminate your Platform access where reasonably necessary to address fraud, unlawful activity, safety risk, non-payment, misuse, security risk, or material breach of these Terms or incorporated policies. You may stop using the Platform and request account deletion at any time, subject to outstanding bookings, disputes, chargebacks, tax, accounting, fraud-prevention, safety, and legal retention requirements.

14. Warranty Disclaimer

The Platform is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Wizcart does not warrant that the Platform will be uninterrupted, error-free, or meet every requirement. Wizcart does not warrant or guarantee Provider Services, Service Provider qualifications, Service Provider insurance, service outcomes, or the conduct of Users or Service Providers.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Wizcart and its directors, officers, employees, affiliates, licensors, vendors, and agents are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, or business interruption arising from the Platform Services.

For all claims arising from Wizcart's provision of Platform Services, Wizcart's aggregate liability will not exceed the greater of: (a) the Wizcart order-processing fees you paid in the six (6) months immediately preceding the event giving rise to the claim; or (b) CAD $500.

Provider Services are performed solely by independent third-party Service Providers, not by Wizcart. For claims arising from Provider Services, including property damage, bodily injury, personal injury, negligence, misconduct, licensing failure, insurance failure, or service-quality failure caused by a Service Provider, the Service Provider and the Service Provider's insurance are the primary responsible party and primary coverage source. Wizcart's Service Provider Terms of Use require Service Providers to maintain commercial general liability insurance with minimum coverage of CAD $2,000,000 per occurrence appropriate to their service category and strongly recommend that WIZCART TECHNOLOGIES INCORPORATED be named as Additional Insured on a primary and non-contributory basis. Whether or not Wizcart is named as Additional Insured on a Service Provider's policy, the Service Provider remains primarily and solely liable for all claims arising from Provider Services. Claims arising from Provider Services should be routed in the first instance to the Service Provider and the Service Provider's insurer. Wizcart may facilitate claim routing, documentation, and communication where reasonable, but such facilitation does not make Wizcart the supplier of Provider Services and does not extend Wizcart's liability beyond Platform Services.

Nothing in this Section limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for fraud, fraudulent misrepresentation, personal injury or death caused by negligence, any non-waivable right or remedy under the Consumer Protection Act (Alberta) or the Personal Information Protection Act (Alberta), or harm caused by Wizcart's gross negligence or willful misconduct.

16. Indemnity

You agree to defend, indemnify, and hold harmless Wizcart from claims, losses, liabilities, damages, penalties, and expenses, including reasonable legal fees, arising from your misuse of the Platform, breach of these Terms, unlawful conduct, User content, failure to provide safe premises, or disputes between you and a Service Provider. This Section does not require you to indemnify Wizcart for Wizcart's own negligence, willful misconduct, fraud, fraudulent misrepresentation, breach of these Terms, or breach of applicable consumer-protection law.

17. Changes to These Terms

Wizcart may amend these Terms from time to time. For material amendments affecting fees, refund mechanics, dispute-resolution procedures, governing law, limitation of liability, indemnity, arbitration, or this amendment clause, Wizcart will provide at least thirty (30) days' advance notice by in-app message and email. During the notice period, you may stop using the Platform and request account deletion. Confirmed bookings already made before the effective date will be handled under the version in effect when the booking was confirmed, unless the change is legally required sooner.

18. Governing Law, Courts, Arbitration, and Regulator Rights

These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there. As Wizcart expands to other Canadian provinces, the mandatory consumer-protection law of the province where the User is located will apply to non-waivable consumer rights where required by law. The seat of any arbitration is Calgary, Alberta, and hearings may proceed by video conference. Filing fees and arbitrator fees must not prevent a User from meaningfully pursuing a claim. For any consumer claim of CAD $100,000 or less (the monetary jurisdiction of the Alberta Court of Justice Civil Division), Wizcart will pay any arbitrator fees and arbitration filing fees in excess of the comparable Alberta Court of Justice Civil Division filing fee for a claim of the same monetary value.

Nothing in this Section limits your right to file a complaint with the Office of the Information and Privacy Commissioner of Alberta, the Office of the Privacy Commissioner of Canada, the Alberta Human Rights Commission, Service Alberta consumer-protection authorities, the Competition Bureau, the Canadian Radio-television and Telecommunications Commission, or any other regulator with statutory jurisdiction. Nothing prevents either party from bringing a claim in the Alberta Court of Justice Civil Division where the claim is within that court's monetary jurisdiction, or from seeking urgent injunctive or equitable relief in a court of competent jurisdiction.

19. Force Majeure

Wizcart is not liable for any failure or delay in providing Platform Services caused by events beyond its reasonable control, including acts of God, natural disaster, severe weather, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, government order, utility or telecommunications failure, internet or hosting outage, cyberattack, or labour disruption. This Section does not excuse any obligation to refund amounts paid for Provider Services or fees that have not been rendered.

20. Survival

The following provisions survive termination or expiry of these Terms and deletion of your account: Limitation of Liability; Indemnity; Intellectual Property; the content licence; Governing Law (including Courts, Arbitration, and Regulator Rights); Force Majeure; and any other provision that by its nature should survive, together with any payment, tax, or record-retention obligation that accrued before termination.
